Terms and conditions
1. INTRODUCTION1.1 These Terms and Conditions (hereinafter “Terms”) govern the use of Grantful platform (hereinafter “Platform”). You are required to follow these Terms whenever you are using the Platform.
1.2 The Platform is operated by Grantful OÜ (hereinafter “Grantful”), registry code 16151971, address Viru väljak 2, 10111 Tallinn, email address info@grantful.com.
1.3 You will be asked to confirm that you have read the Terms and that you agree to follow the Terms whenever you are using the Platform. If you do not agree to these Terms, you must not use the Platform.
1.4 Grantful may make amendments to these Terms. If Grantful makes amendments to these Terms, then Grantful will send the amended Terms for you to review and confirm that you accept the amended version of the Terms. The amended version of the Terms will be sent to you for review 14 calendar days prior to the amended Terms entering into force. If you do not accept the amended Terms, you must not use the Platform.
1.5 As part of providing the Platform and its features to its users, Grantful will process personal data. Detailed information about how Grantful processes personal data can be found in the Privacy Policy here.2. YOUR ACCOUNT2.1 To use the Platform, you must register for an account (hereinafter “Account”) and provide certain information about yourself as prompted by the account registration form. You represent and warrant that all the required information you submit is accurate.
2.2 Users of the Platform can be legal or natural persons.
2.3 You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Grantful of any unauthorized use or suspected unauthorized use of your Account or any other breach of security.3. FEES3.1 The use of the Platform is free of charge for applicants.
3.2 For grant-making organizations, Grantful offers a license to use the Platform for an unlimited number of calls. Grantful and the organization will sign a separate agreement for this.4. INTELLECTUAL PROPERTY4.1 You will not receive any IP rights related to the Platform as a result of using the Platform. You understand that by registering an Account and by fulfilling other conditions stipulated by Grantful, you will merely have the right to use the Platform for its intended purposes.
4.2 In particular, you understand that the right to use the Platform according to these Terms are subject to the following restrictions:
5.3 Grantful is not liable for any loss of damage suffered by you under a breach of contract and shall not be obliged to compensate you for any loss of income, business interruption, loss of profit or other similar losses, unless our actions are deemed culpable (intentional or through gross negligence).
5.4 Grantful shall not be responsible for any damages which have occurred due to the Platform being unavailable because of force majeure, which may include, among other scenarios, power outage, civil unrest, governmental orders, natural disasters and infrastructure failures.
5.5 If you are using the Platform as a grant-making organization, then you acknowledge and accept that Grantful is merely providing its Platform as a grant-making infrastructure. When using the Platform, each grant-making organization is responsible for ensuring that the procedure complies with all applicable legal acts, as well as all relevant internal regulations, international standards and/or other relevant and applicable rules which the grant-making organization is subject to.
5.6 Each grant-making organization is responsible for executing the grants and making respective payments to relevant parties. Grantful is not responsible for making grant payments.6. TERM AND TERMINATION6.1 Grantful may terminate your right to use the Platform if you violate these Terms.
6.2 In addition, Grantful may suspend or terminate the user's right to use the Platform in any of the following cases:
6.4 Upon the suspension of the user's right to use the Platform, the user's access to the Account shall be temporarily blocked. Upon termination of the user's rights under these Terms, the user's right to access and use the Account and the Platform will end permanently.
6.5 As a user, you may delete your Account at any time, for any reason, by following the instructions on the Platform.7. DISPUTE RESOLUTION, APPLICABLE LAW AND JURISDICTION7.1 These Terms are subject to the laws of the Republic of Estonia.
7.2 Any disputes regarding the services and/or in connection with these Terms shall be settled through negotiations. If the parties fail to resolve the dispute through negotiation, the disputes shall be settled by Harju Maakohus (Harju county court) in Estonia.8. OTHER8.1 Should a clause in these Terms be illegal or void (in whole or in part), then such a clause will not affect the validity or enforceability of any part of the other clauses in the Terms. The illegal or void clause will be replaced by a new valid clause with the same meaning and intent as the original clause.

4.2 In particular, you understand that the right to use the Platform according to these Terms are subject to the following restrictions:
4.2.1 You shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Platform, whether in whole or in part, or any content on displayed on the Platform;
4.2.2 You shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Platform;
4.2.3 You shall not access the Platform in order to build a similar or competitive platform, website, product or service;
4.2.4 Except as expressly stated herein, no part of the Platform may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means.
5. LIABILITY5.1 If you are using the Platform as an organization who is giving grants, it is the responsibility of you as the organization's representative to be aware of the rules governing the specific grant. Grantful shall not be liable for any loss suffered by you or your organization as a result of non- compliance with specific laws, internal rules and other provisions governing the process of applying for, assessing and issuing the grant.4.2.2 You shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Platform;
4.2.3 You shall not access the Platform in order to build a similar or competitive platform, website, product or service;
4.2.4 Except as expressly stated herein, no part of the Platform may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means.
5.1.1 You acknowledge and agree that Grantful's responsibility is restricted to providing a functioning platform for streamlining grants. It is the responsibility of every grant giving organization to implement the relevant rules for the specific grant for which they are responsible for.
5.2 Grantful will use reasonable endeavors to ensure that the user can access the Platform and the services in accordance with these Terms. However, Grantful may be required to temporarily suspend the functioning of the Platform for unexpected maintenance requirements due to malware, hacking, computer viruses and/or other reasons. You acknowledge that you may not always be able to access and use the Platform due to this reason.5.3 Grantful is not liable for any loss of damage suffered by you under a breach of contract and shall not be obliged to compensate you for any loss of income, business interruption, loss of profit or other similar losses, unless our actions are deemed culpable (intentional or through gross negligence).

5.5 If you are using the Platform as a grant-making organization, then you acknowledge and accept that Grantful is merely providing its Platform as a grant-making infrastructure. When using the Platform, each grant-making organization is responsible for ensuring that the procedure complies with all applicable legal acts, as well as all relevant internal regulations, international standards and/or other relevant and applicable rules which the grant-making organization is subject to.
5.6 Each grant-making organization is responsible for executing the grants and making respective payments to relevant parties. Grantful is not responsible for making grant payments.6. TERM AND TERMINATION6.1 Grantful may terminate your right to use the Platform if you violate these Terms.
6.2 In addition, Grantful may suspend or terminate the user's right to use the Platform in any of the following cases:
6.2.1 the user does not provide Grantful with information which is necessary to identify the user;
6.2.2 the user lies about its identity;
6.2.3 the user's profile does not comply with the conditions for the application procedure;
6.2.4 the user has violated or attempted to violate the intellectual property rights of Grantful or of other users;
6.2.5 the user uploads illicit materials on the Platform;
6.2.6 the user engages in practices, has disclosed statements or beliefs which are incompatible with scientific methods;
6.2.7the user has engaged in unethical behavior, such as plagiarism, the falsifying of official documents, cheating or fabrication of data.
6.3 If another user submits a complaint about the user, then Grantful will suspend the functioning of the user's Account to process the complaint. If, as a result of processing the complaint, Grantful finds that the user has either violated these Terms or the law, Grantful may terminate the user's Account.6.2.2 the user lies about its identity;
6.2.3 the user's profile does not comply with the conditions for the application procedure;
6.2.4 the user has violated or attempted to violate the intellectual property rights of Grantful or of other users;
6.2.5 the user uploads illicit materials on the Platform;
6.2.6 the user engages in practices, has disclosed statements or beliefs which are incompatible with scientific methods;
6.2.7the user has engaged in unethical behavior, such as plagiarism, the falsifying of official documents, cheating or fabrication of data.
6.4 Upon the suspension of the user's right to use the Platform, the user's access to the Account shall be temporarily blocked. Upon termination of the user's rights under these Terms, the user's right to access and use the Account and the Platform will end permanently.
6.5 As a user, you may delete your Account at any time, for any reason, by following the instructions on the Platform.7. DISPUTE RESOLUTION, APPLICABLE LAW AND JURISDICTION7.1 These Terms are subject to the laws of the Republic of Estonia.
7.2 Any disputes regarding the services and/or in connection with these Terms shall be settled through negotiations.
